Services Offered: Our company provides prototype design services for mobile apps and web apps, including templates, sitemaps, wireframes, UX/UI design, and interactive prototype creation.

Intellectual Property: All designs and graphic resources created during the design process are the exclusive property of the client. We will not retain any ownership rights to such materials.

​

Use of Prototypes: The provided prototypes do not contain source code and are not intended to be used as final products. They are created for visualization and presentation purposes only.

Client Responsibility: The client is responsible for providing accurate and detailed project-related information, including requirements, goals, and branding to ensure effective design.

​

Payments: The costs for our services vary depending on the selected package and required services. Payments must be made according to the terms established during negotiations.

Confidentiality: All information shared with us during the design process will be treated with the utmost confidentiality and will not be disclosed to third parties without the client's consent.

Changes and Complaints: We will provide prototype revisions based on client feedback. Any relevant design changes will be considered during the design process.

Limitation of Liability: We will not be responsible for any direct or indirect damages resulting from the use of our prototype design services.

Contract Termination: The client has the right to terminate the contract at any time, subject to payment for services rendered up to that point.

Applicable Law: These Terms and Conditions are governed by the laws of the country in which our company operates.

Terms and Conditions for the Provision of Tech Prototype Design Services by ProtoSparks:

Please read the following terms and conditions carefully before using our services. These terms govern your interaction with ProtoSparks in the design of tech prototypes.

 

Service Provision: ProtoSparks commits to providing tech prototype design services exclusively according to the specific details agreed upon with the client.

​

Code Development Not Included: Please note that ProtoSparks does not handle code development. We are not responsible for code delivery or any code-related issues. The primary responsibility for making the created prototype usable lies with a developer company selected by the client, whether they are our partners or a company chosen by the client.

Client Obligations: The client undertakes to provide and ensure the necessary support for every project requested by ProtoSparks. Specifically, the client must provide all required information and assistance to enable ProtoSparks to perform the requested services properly. The client will also ensure that ProtoSparks has legitimate access to all relevant information and materials for service execution in compliance with applicable laws and regulations, including data protection regulations and intellectual property rights.

ProtoSparks, with the highest professional diligence, will rely on the information and data provided by the client. However, ProtoSparks will not be obligated to verify the truth and accuracy of the information and/or data provided by the client, relying on their legitimacy.

Tech Design Services (Code Development Not Included): ProtoSparks commits to providing tech design services in compliance with specific terms. Specifically, these services include complete design of technological solutions, optimization of user experience (UX) and user interface (UI) design, detailed prototype creation for visualizing and testing product functionalities before the development phase, usability evaluation, and making any necessary improvements. We will also provide a detailed style guide defining the visual aspects of the project, including colors, typography, and graphic elements, along with all graphic assets required for project implementation. We will create detailed diagrams illustrating the technical workflow of the product. However, it is emphasized that ProtoSparks does not offer code development services and will not be involved in the creation or management of software solutions unless specifically requested by the client or a contracting company. The primary responsibility for prototype implementation rests with the client or a developer company of their choice, whether they are our partners or chosen by the client. Upon the client's or contracting company's request, if deemed necessary, ProtoSparks may collaborate with the selected development team, whether it is an IT/software company or a team directly chosen by the client or the company itself.

Responsibility: The Supplier, ProtoSparks, will be responsible exclusively for direct and foreseeable damages arising from a breach of their contractual obligations related to tech prototype design without involvement in code programming or similar elements. However, ProtoSparks disclaims any responsibility for indirect damages, including loss of production, income, or damages resulting from the non-use, in whole or in part, of the tech prototype and the services provided, regardless of the cause of damage.

Please note that any damages suffered by third parties are considered indirect damages and will not result in compensation from ProtoSparks. Additionally, any tolerance by either Party regarding conduct that violates these Terms and Conditions will not constitute a waiver of the rights of that Party. It is emphasized that no waiver of rights or objections to any violations or breaches under these Terms and Conditions will be considered valid unless made in writing. It should be noted that the implementation of software, platforms, or other similar elements is the responsibility of a developer company chosen by the client unless this specific collaboration is requested.

Cancellation and Refund: In case of project cancellation by the client, please be informed that the deposit paid will not be refundable. The Supplier reserves the right to assess, on a case-by-case basis, the possibility of a partial or full refund of the deposit based on the work actually performed up to the point of cancellation.

Included Services: As UX/UI Tech specialists, we are committed to providing a comprehensive range of tech prototype design services for the specific project identified in the quote. This range of services includes but is not limited to:

• Tech Study and Analysis: We begin with a phase of tech study and analysis to fully understand the project's needs and requirements, including user experience mapping and architecture design.

• User Flow Creation: After the analysis, we define the paths that users will follow within the interface, ensuring a clear view of the navigation experience.

• Information Architecture Design: We define and organize the structure of content and information in the user interface to ensure intuitive navigation.

• Wireframe Creation: Subsequently, we develop wireframes representing the basic structure and layout of the user interface.

• Mockup Creation: We create static graphic mockups to visualize the expected appearance of the user interface.

• Interactive Prototype Creation: We then proceed to create functional interactive prototypes to demonstrate the user experience flow.

• Interaction Design: We define how users will interact with the interface to ensure a smooth and engaging experience.

• Style Guide Creation: We provide detailed guidelines on the appearance and presentation of the user interface, including design elements, colors, typography, and icons.

All of these tech solutions are carefully verified by a development technician or programmer to ensure project feasibility.

Purpose of the Agreement: The provided tech prototype design services will be used exclusively for the project specified in the quote and will not be distributed, shared, or used for other purposes without the written consent of the client and ProtoSparks.

​

Intellectual Property Rights: All intellectual property rights related to the prototypes and materials created during the project will be the exclusive property of the client unless expressly specified otherwise in the quote.

​

Confidentiality: Both parties undertake to maintain the utmost confidentiality for all information exchanged during the project and not to disclose it to third parties without the written consent of the other party. This commitment extends beyond the conclusion of the project.

Applicable Law: These Terms and Conditions are governed by Swiss law. Any dispute will be resolved in accordance with Swiss laws.
